Record Companies Are Now Suing Mobile Carriers For Royalties

It appears as though the music industry has found a new strategy to cash in on royalties. As music lovers are well aware, at first these companies tried to sue individual users for illegally downloading music. But it is painfully clear that this approach to recover from major financial loss has destroyed their image in the public eye.

Rather than lowering the cost of albums in order to compete with free music circulating through the internet, record companies have turned to collection agencies who are now suing cellphone companies over royalties from ring tones. They contested that ring tones counted as public performances and therefore cell phone companies should be obligated to pay performance fees. The courts quickly shot this down.

After this unsuccessful attempt to collect money, Broadcast Music Inc is now suing T-Mobile over ring back tones, contesting that the cell phone company is selling them without agreeing to licensing agreements. Instead of ring tones, which play out loud when someone calls a cellphone, ring back tones play expressly to the person calling. That is to say, instead of hearing a cellphone dialing tone, the caller will hear a song chosen by the cell owner.

Music lovers are quick to point out the contradictory nature of this lawsuit. If ringtones that can be heard by anyone around a cellphone that is being called, do not equate to a public performance, it seems absurd to sue the mobile carriers over a ringback tone that can be heard only by the caller. Record companies seem to be grasping at straws as they suffer from huge financial losses.

It does not seem that lowering the cost of CDs and DVDs is an idea that has occurred to the major companies. There are still a number of music fans out there that prefer to collect and own the media, however with prices constantly spiking, downloading music for free seems very tempting. CDs generally go on sale for about seventeen dollars.

A few bands have bypassed the issue of free music downloads through creative tactics. Radiohead, an alternative rock band, built a website where fans can obtain the mp3s for free, or for a donation. Nine Inch Nails' Trent Reznor made a similar site. The music industry's unsuccessful lawsuits and declining public image leads one to believe that thinking outside of the box and lower pricing may be more effective than bullying money out of mobile carriers and individual users.

Falcons Win Big On Road, Top 49ers

It's obvious that the San Francisco 49ers are heading in the right direction under Mike Singletary, but you couldn't tell by watching their game against the Atlanta Falcons on Sunday. The Falcons scored six touchdowns against the Niners, with running back Michael Turner accounting for three of the scores as Atlanta routed San Francisco by a lopsided 45-10 final score. It was the Niners' worst defeat since a 41-0 loss back in 2006 under former coach Mike Nolan. San Francisco fell to 3-2 with the defeat while the Falcons improved to 3-1.

The NFL betting lines had the game listed as a 'PICK', giving the Falcons the ATS win with their easy straight up victory. It was the 49ers first loss against the spread this season, while Atlanta upped their record to 3-1 to the money.

After the game, the fiery Singletary apologized for a verbal altercation with former 49er and current Falcons' lineman Harvey Dahl:

"I'll put it this way: I wish I had more coaching etiquette. I don't. I love my players and when someone responds about my players in a particular way, I may do some things I shouldn't do. I have to get better at those things as time goes on. Even though the player was talking to me, I should not have said what I said. It wasn't anything bad, it was just something that shouldn't have happened."

Roddy White set a Falcons' record with 210 receiving yards, and was assessed an unsportsmanlike conduct penalty on his second touchdown of the day. With his team in full control, Atlanta coach Mike Smith had to be amused:

"He didn't hit the landing because if he hits the landing it's not a 15-yard penalty. I told him if he's going to do it, it needs to be Olga Korbut. And he looked at me like he doesn't know who Olga Korbut is. Then I told him, 'Well, maybe Mary Lou Retton.' And then I figure that's '86, he doesn't know who Mary Lou Retton is. It went right over his head and my head."

Smith admitted that he hadn't been in top form so far this season:

"I felt like I haven't been playing well up to this point in the season. Me and coach Smith had a talk. He was like, 'You gotta get back to being yourself again. You gotta go out there and be the old Roddy. No pressure. Just go out there and play.'"

The Falcons will return home on Sunday to host the Chicago Bears, with Atlanta a -3 home favorite and the total set at 45'. They'll play their next two on the road, traveling to Texas for a game against the Dallas Cowboys the following week and to New Orleans to face the Saints on Monday, November 2. The 49ers will have a bye this week before traveling to Houston to play the Texans on October 25.

For that reason, its more accurate to say that NFL lines are more of a reflection of the betting publics perception of which team will win a game and by how much than anything else. A bookmaker may shade the NFL lines involving teams that are popular with the general public such as the Dallas Cowboys or New England Patriots to make their opponent a more enticing betting option. So if the numbers in a hypothetical game between Dallas and Cincinnati indicate that the Cowboys should be a -6 favorite a book may open the game at -7 or -7. For that reason going against public teams is almost always a strong wagering strategy.

In early season wagering there are a few additional factors at play. A bookmaker may consider a teams NFL preseason record for the simple reason that the NFL betting public gives it undue attention. Sharp players know that there is little correlation between a teams preseason success (or lack thereof) and their regular season performance. Another consideration is a teams performance in the previous season or, in some cases, their historical performance. A team with a winning tradition like New England or Carolina may be priced higher than the true odds indicate as a result.

Furthermore, its important to understand why NFL lines are moved after the opening numbers are posted. While it may occasionally be due to external factors such as injury or weather, more often than not its a direct result of the money a book is drawing on one side of the proposition or another. The idea is that by moving the line it makes wagers on the side a book wishes to attract money on more attractive.

Houston Slips Past San Francisco

The Houston Texans have won consecutive games for the first time this season by virtue of a hard fought 24-21 victory over the visiting San Francisco 49ers. The Texans led 21-0 at halftime but fought themselves in a ball game after the Niners scored the first 14 points of the second half. The rally fell short, however, and Houston improved to 4-3 on the NFL season. The 49ers evened their record at 3-3.

Players that bet on NFL football found the game completely irrelevant, however, as it landed right on the pointspread for a disappointing push. After covering their first four of the season against the NFL pointspread, the Niners have a loss and a push in their last two games to leave their record at 4-1-1 versus the number. Houston is now 3-3-1 ATS on the season. The 45 points scored managed to go OVER the total of 44' by a half point. The 49ers evened their NFL totals record at 3-3, while the Texans have gone UNDER in four of seven.

Despite losing a big lead, Houston coach Gary Kubiak was pleased with the outcome:

"We get down, they get up and they all of a sudden grabbed the momentum of the game. But we made some big plays late and defensively Eugene made a big play so it was a big, big win."

Niners' coach Mike Singletary benched quarterback Shaun Hill after a terrible first half and replaced him with Alex Smith. Smith responded by throwing three touchdown passes and getting San Francisco back in the game. After the contest, Singletary explained his move:

"I just thought it was time to make the switch. It was as simple as that. No long, drawn-out thought process. But let's make the change."

Smith explained that he caught the Texans' defense playing passive football in the second half:

"Starting the second half, down three scores, you're seeing some stagnant looks from the defense, they're not throwing as much at you."

Top draft choice Michael Crabtree finally made his San Francisco debut after a lengthy holdout and described what the experience was like:

"I was kind of calm. I practiced on getting calm and coming into the game, knowing what I was supposed to do and executing my plays. I think I did a good job, but I've got some more work to do."

San Francisco will travel east to face the Indianapolis Colts next Sunday, with the 49ers installed as a +11 road underdog and the total set at 45. They'll return home for their next two games, hosting the Tennessee Titans the following Sunday and facing the Chicago Bears off a short week the next Thursday, November 12. Houston will play their next two on the road, beginning with a game at Buffalo on Sunday. They'll play at Indianapolis the following week before a bye week.

After losing the services of starting goalie Roberto Luongo for the indefinite future with a broken rib, the Canucks may have breathed a sigh of relief too soon after backup goalie Andrew Raycroft's performance in his first game in relief. After an excellent effort in an overtime victory over Los Angeles, Raycroft was torched for four goals in two periods before being pulled from the game. Corey Schneider, recently recalled from Manitoba of the AHL, played the third period in net giving up three more goals as Anaheim cruised to a 7-2 victory. The Canucks scored twice in the first five minutes of the game to lead 2-0 before giving up seven unanswered goals.

Anaheim has struggled to a 4-6-1 record this season, but rewarded their backers who chose to lay the -164 price as home favorites with the Ducks. The Canucks evened their record on the season at 7-7 with the loss. The 9 combined goals put on the board sailed OVER the posted total of 6.

The Ducks snapped a four game losing streak with the offensive outburst. After spotting Vancouver a 2-0 lead early in the game, Corey Perry and Bobby Ryan each tallied two goals and an assist in the lopsided victory. Mike Brown had the eventual game winning goal in the second period with his first career shorthanded marker, and even enforcer George Parros got in on the act with his first goal of the year. Jonas Hiller was sharp in goal for Anaheim, stopping 36 of 38 shots in the victory.

Vancouver's problem this season has been not getting enough shots on goal and giving up too many. In the shootout victory over Los Angeles on Thursday, they were outshot 29-12 in regulation. They'd been kept in a number of games they should have lost due to the goaltending virtuosity of Luongo, and this game didn't bode well for his absence. This was only the second time in eight games Vancouver has allowed more than two goals, a testimony to the ungodly skill of Luongo more than their defensive tenacity.

Raycroft is expected to be back between the pipes for Vancouver's next game, a Sunday home date against the Colorado Avalanche. The Canucks will host the New York Rangers on Tuesday night before a road game against the Minnesota Wild on Thursday. Anaheim will play at Phoenix on Saturday night before returning to the Honda Center for the next two games. They'll host the defending Stanley Cup champion Pittsburgh Penguins on Tuesday before welcoming the Nashville Predators to southern California later in the week.

Are you taking your company public? Here is what you need to know. Disclosure Obligations: "If my company becomes "public," what are its disclosure obligations?"

The Securities Exchange Act of 1934 requires a company to file certain periodic reports once its registration statement has been declared effective. This obligation continues indefinitely unless:

At the beginning of any subsequent fiscal year, the class of securities offered is held of record by less than 300 persons; or

At the beginning of any subsequent fiscal year (except the two fiscal years immediately succeeding the year the registration statement became effective), all securities offered are held of record by less than 500 persons and the issuer has had less than $5 million in total assets for each of its last three fiscal years.

In these cases, the reporting obligation may be suspended. Otherwise, a company must continuously disclose certain information about:

Its operations; Its officers, directors, and certain shareholders (including salary, various fringe benefits, and inside transactions between the company and management); The financial condition of the business (including audited financial statements by an independent certified public accountant); The Public Company Accounting Oversight Board (or PCAOB) (sometimes called "Peekaboo") is a private-sector, non-profit corporation created by the Sarbanes-Oxley Act, a 2002 United States federal law, to oversee the auditors of public companies. Its competitive position, material terms of certain contracts or lease agreements; acquisitions and mergers, creation of certain financial obligations, and material impairment of assets; unregistered sales of equity securities; changes in its accountant; and changes in its board of directors and management;

Exemptions

The Securities Act of 1933 provides several exemptions from the registration requirements; the most common are discussed below. Nonetheless, purchases or sales of securities (even in exempt transactions) are subject to the antifraud provisions of the federal securities laws. This means that issuers are responsible for false or misleading statements (whether oral or written) which may be redressed through private or government legal action, including criminal sanctions. Also, if all conditions of the exemptions discussed below are not met, purchasers may seek to have their purchase price refunded. In addition, the fact that an offending may be exempt from certain provisions of the federal securities laws does not necessarily mean that it is exempt from the notice and filing obligations of various state laws.

 PIPE: Private Investment In Public Equity this is used primarily by mutual funds and private investment firms where they buy discount stock in order to raise capital, there are two types of PIPEs traditional where common and preferred stock is issued at a set cap to raise money for the issuer and a structured pipe issues convertible debt.

 DPO: Direct Public Offering is when you sell equity shares directly to customers, suppliers and employees.

 PPM: Private Placement Memorandum is also known as an offering memorandum takes advantage of Regulation D rule exemptions 504, 505 and 506. This process came into existence with the'33 securities act and popularized in the late'80s, companies can raise money from the public via private placement; there is virtually zero interaction with the SEC after you file form d as long as you stay legal.  OTCBB: Over the Counter Bulletin Board is an electronic quote system that is the next best thing if you can't go public via ipo, there is minimal red tape to startups and small businesses and is legitimized by the stringent ongoing reports to the SEC which keeps investor confidence high (these are extremely solid and I suggest this structure to companies when I am hired by their company or legal team as a consultant as a fast, easy way to raise big capital from the public otc)

 Pink Sheet: you can look at pink sheets as the Burger King, while the OTCBB is McDonalds, they are competing otc mechanisms. Pinks sheets are commonly referred to as penny stock and notorious for 'pump em' and dump em' controversies and a lot of crooked people are involved with this platform. This is not a long term process that will allow one's company to grow, pink sheets companies are typically short lived but it is cheap to set up but not a professional structure that could be upgraded in time to an IPO.

 Reverse Merger: a group funds the filing and creation of a public shell, they then sell that shell to a company that wants to go public, the established company merges it's entity into the public shell. The sellers retain around 30% equity after they charge an upfront fee of 300k to 1m. 99% of reverse mergers are successful with the merger, but unsuccessful to bring them to trade and the entity basically just fizzles out.

Taking your company public is actually quite simple and inexpensive when you have the right consultant putting the structure together for you. There are countless ways to raise capital quickly and easily. It's important that you understand your options before you waste time entering into the red tape infested banking system for a loan.

You've looked into everything from pink sheets to reverse mergers to OTCBB to IPO and you have come to the conclusion you're going to need to take on investors so that you can afford to follow through with your plan. If you're lacking the funds to dive right in and start creating your public structure, here is a way that just about any business can afford to go public.

First, get a real business plan. Your business plan needs to sizzle and reel in the investor and clearly paint a picture of your vision to the investor and their advisors. Next, you'll want to raise an initial round of cash quickly so that you can afford to take your company public without hindering your current company structure with additional ancillary costs. You're going to need something fast and affective; you should consider having a professionally authored private placement memorandum put together for your company.

If you are trying to go public via OTCBB a Regulation D Rule 504 exemption will suffice, if you are trying to achieve an IPO you'll need to go with a Regulation D Rule 505 exemption (pink sheets and reverse mergers into shell corps are not very successful in immediate and long term success so I would suggest you stay away from these structures). After much thought about the definition, I realized that the King of Pop's death and his popular moon walk have lessons in life, which we can definitely learn and apply in our life. This post has no intentions of putting down Michael Jackson, but rather it will only emphasize on analyzing the lessons that can be taken out of his life and his final moon walk.

Being one of the most successful entertainers of his generation, Michael Jackson was able to sell over 750 million records, win 13 Grammy Awards and hit the no. 1 spot with his singles 13 times. Articles around the world agree that his lifetime earnings were more than $500 million and that his music itself is a billion dollars worth.

In spite of all the fortune and fame he gained, struggles of depression and debt wreck havoc in the last part of his life. To some people, his two year seclusion of himself from his family and friends and his struggles with money worsened his fragile health. Ironically, he was a person loved and adored by his millions of fans, yet he passed away broken hearted, miserable and lonely.

I refer to the King of Pop's final years on this world as his last moon walk. Like his moon walk, Michael Jackson's life failed to move forward because he was being drawn backward by the circumstances of his life. But unlike the moon walk, all the drawbacks in his life were not mere illusions. Below are three lessons in life which I have taken from the King of Pop's final moon walk.

1.) Try living within your pay grade - In spite of the millions of dollars Michael Jackson earns every year, his extravagant lifestyle forces him to spend more than $ 20 to 30 million above what he earns. His display of extravagance has caused him to be in so much debt that certain well known persons, including a Bahrain Sheik, blamed him for his inability to pay what he owed. This incapability resulted to his losing of his valued Neverland Ranch. While his assets still have greater value over his debts, he still died owing $ 400 million. Even if Michael Jackson had the right of living extravagantly, he should have been wise enough to live within his pay grade and made an effort of taking care of his finances. His inability to live within his pay grade brought about so much financial problems that he got more depressed.

2.) Life is tough, so learn to handle problems - The King of Pop may have accomplished so much success in his musical career, however, he could not handle a problem well. When problems came, he became so depressed that he turned to weird plastic surgeries, isolation and drug misuse. An example of this was when he was accused of child molestation. The King of Pop was never the same after the that ordeal. According to J Randy Taraborrelli in an article he wrote for the daily mail, "He (King of Pop) surrounded himself with children, animals and a false reality - so much so that he never learned how to cope in the real world. He never wanted to grow up, and his managers encouraged these eccentricities when they should have encouraged therapy."

3.) Fame and fortune does not equate joy and happiness - Yes, the King of Pop no doubt has achieved so much in his lifetime. So much that he broke records that he himself achieved, opened up racial barriers and reinvented the world of music. However, though he had these great successes and the love of millions, the final years of his life was marked with loneliness, unhappiness sadness, depression and the feeling of being unloved. He kept to himself, away from friends and family.

Michael Jackson's last moon walk bears so many morals in life. I could have said more but it is your turn to do your own analysis. I pray that in the event we will have to do our last moon walk here on earth, it would be much better than Michael Jackson's.

While some teams could care less about the result of preseason games, few want to enter the regular season having lost them all. In light of this fact, a successful preseason situation that has stood the test of time is to bet on teams that lost their first two exhibition games outright. Raiders Upset Visiting Eagles

Much maligned quarterback Jamarcus Russell played his best game of the season despite two interceptions, throwing for 224 yards and a touchdown.

Oakland evened their mark against the NFL pointspread at 3-3, while the Eagles dropped to 3-2 against the number. The 22 points scored went well UNDER the posted total of 40'. It was the Raiders' fourth UNDER in six outings, while it was the Eagles' first UNDER of the season against four OVER verdicts.

After the contest, Raiders' coach Tom Cable said for the first time all season his team focused their intensity in the right direction:

"We went out and threw a fight on somebody and said, 'Enough. Let's play. That's all you can say. There's no magic words or anything like that."

Last week's 44-7 loss to the New York Giants may have served a wakeup call to the Raiders. In particular, they were offended by comments made by Giants' linebacker Antonio Pierce that the game 'felt like playing a scrimmage'. Raiders' wide receiver Louis Murphy didn't dispute the comments but instead took them to heart:

The Raiders' defense received the bulk of the credit for the victory as they pressured Donovan McNabb all day, sacking him six times. The Eagles became the first team in three years to not score an offensive touchdown against the Raiders. Richard Seymour and Trevor Scott each had a pair of sacks, and Scott had the following observation:

"I'm sure they watched the Giants game and thought we were sorry. But all week coach Cable talked about persevering and forget the past and move forward so we can get to where we want to go."

After the game, McNabb had little to say:

"I'm embarrassed by the way we came out here and played. We're a much better football team."

The Raiders will try to put together an actual winning streak as they host the New York Jets next Sunday. Oakland is a +7 home underdog with the total set at 35. They'll play their hated rivals the San Diego Chargers on the road the following Sunday before a bye week. Philadelphia will play the Redskins at Washington next Monday night. The Eagles are a -6' road favorite with the total set at 38'. They'll return home for games the following two Sundays against the New York Giants and Dallas Cowboys.
